Terms of Service

These Terms govern your use of the Service. By creating an account, signing up, checking in to an event, or otherwise interacting with the Service in any capacity, you represent that you (a) have the legal capacity to enter into a binding agreement, (b) accept these Terms in full, and (c) will comply with all applicable laws and regulations while using the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Networkia is a networking platform designed for attendees of professional events, conferences, and gatherings. The Service enables users to create a profile, indicate their interests, professional background, what they are looking to gain from networking ("wants"), and what skills or expertise they can offer ("offers"). The Service then presents suggested matches with other attendees based on a proprietary compatibility algorithm.

The Service is provided primarily through a web interface accessed via QR codes distributed at participating events, administrator dashboards, and attendee dashboards. Sisnova reserves the right to modify, add, or remove features at any time and for any reason.

You must be at least 16 years of age (or the applicable minimum age of digital consent in your jurisdiction, whichever is higher) to use the Service. By using the Service, you represent and warrant that you meet this requirement. The Service is not directed to children under that age, and we do not knowingly collect personal information from such children. If we become aware that we have collected information from a person under the minimum age, we will take steps to delete it.

To use the networking features of the Service, you must register by providing accurate, current, and complete information, which may include your name, email address, professional role, and interests. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Sisnova promptly at info@sisnova.io of any unauthorized use of your account.

Authentication may be handled through third-party identity providers (such as Google). Use of these providers is also subject to their terms of service and privacy policies.

Your affirmative agreement is not limited to clicking a checkbox. By signing up, creating a profile, scanning an event QR code, checking in to an event through the Service, or otherwise accessing any authenticated portion of the Service, you expressly consent to and accept these Terms and our Privacy Policy. This constitutes your informed, affirmative agreement to the collection, storage, processing, and sharing of your information as described in those documents. If you do not agree, you must not sign up for, check in to, or otherwise use the Service.

When using the Service, you agree that you will not:

• Provide false, misleading, or impersonated profile information.
• Harass, threaten, stalk, defame, or cause distress to any other user or person.
• Use the Service to send unsolicited commercial communications, spam, or promotional content not related to the networking purpose of the event.
• Attempt to reverse-engineer, disassemble, scrape, data-mine, probe, or circumvent any security or rate-limiting mechanisms of the Service.
• Use the Service to transmit any malware, viruses, or other malicious code.
• Collect or harvest information about other users except as expressly permitted by the Service's features.
• Use the Service for any unlawful purpose or in violation of applicable laws, including data-protection and anti-discrimination laws.
• Interfere with the proper functioning of the Service or attempt to access accounts or data that do not belong to you.

We reserve the right to investigate and take appropriate action, including suspension or termination of accounts, for any violation of this section.

You retain ownership of the information you submit to the Service ("User Content"), including your profile details, interests, wants, and offers. By submitting User Content, you grant Sisnova a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify (solely for formatting and display purposes), display, and distribute your User Content for the purpose of operating, providing, improving, and promoting the Service, and to share it with other attendees of the events at which you appear, strictly in accordance with the Service's matching functionality.

You represent and warrant that you have all rights necessary to grant the license above and that your User Content does not infringe upon any third-party rights or violate any law.

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. In summary:

• Sisnova stores your information securely using industry-standard technical and organizational safeguards.
• We retain your information for as long as is necessary to operate the Service, fulfill the purposes for which it was collected, comply with legal, tax, accounting, and regulatory obligations, resolve disputes, and enforce our agreements.
• You may, at any time, request deletion of your personal data by sending a written request to info@sisnova.io. We will process valid deletion requests within a reasonable timeframe, subject to legal retention obligations.

The Service may integrate with or rely on third-party providers (for example, authentication providers, cloud hosting, and analytics). We are not responsible for the content, policies, or practices of any third-party services, and your use of them is governed by their respective terms.

The Service and all associated content, trademarks, service marks, logos, software, source code, designs, and user interfaces (excluding User Content) are and remain the exclusive property of Sisnova and its licensors, protected by copyright, trademark, trade-secret, and other intellectual-property laws. Except for the limited rights expressly granted to you by these Terms, no rights are granted or transferred to you.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. SISNOVA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT THE MATCHING ALGORITHM WILL PRODUCE PARTICULAR RESULTS, BUSINESS OUTCOMES, OR PROFESSIONAL OPPORTUNITIES. YOU USE THE SERVICE AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SISNOVA, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL SISNOVA'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED ONE HUNDRED US DOLLARS (USD $100) OR THE AMOUNT YOU PAID SISNOVA IN THE TWELVE MONTHS PRIOR TO THE CLAIM, WHICHEVER IS GREATER.

You agree to defend, indemnify, and hold harmless Sisnova and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your access to or use of the Service, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any applicable law or third-party right.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including (but not limited to) for any breach of these Terms. You may stop using the Service at any time and request account deletion via info@sisnova.io. Sections that by their nature should survive termination will survive (including, without limitation, Sections 7, 8, 10, 11, 12, 13, 16, and 17).

We may update these Terms from time to time. When we do, we will update the "Last updated" date above and, for material changes, will take reasonable steps to notify you (for example, via email or an in-Service notice). Your continued use of the Service after the revised Terms take effect constitutes your acceptance of them.

These Terms and any dispute arising out of or related to them or the Service will be governed by the laws applicable to Sisnova's principal place of business, without regard to conflict-of-laws principles. You agree to submit to the exclusive jurisdiction of the courts competent for that location for the resolution of any dispute, except that Sisnova may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property.

• Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Sisnova regarding the Service and supersede all prior or contemporaneous understandings.
• Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
• No waiver. Failure by Sisnova to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms at any time without notice.
• Force majeure. Sisnova will not be liable for any failure or delay in performance due to causes beyond its reasonable control.
